OK, you’re ready to take your company to the next level and your CFO and legal counsel have advised you to go public to raise capital as well as to retain some of those prize employees with stock options and to bait that new sales executive with a signing bonus made up of stock options. You’ve looked into everything from pink sheets to reverse mergers to OTCBB to IPO and you have come to the conclusion you’re going to need to take on investors so that you can afford to follow through with your plan. If you’re lacking the funds to dive right in and start creating your public structure, here is a way that just about any business can afford to go public.

First, get a real business plan. Your business plan needs to sizzle and reel in the investor and clearly paint a picture of your vision to the investor and their advisors. Next, you’ll want to raise an initial round of cash quickly so that you can afford to take your company public without hindering your current company structure with additional ancillary costs. You’re going to need something fast and affective; you should consider having a professionally authored private placement memorandum put together for your company.

If you are trying to go public via OTCBB a Regulation D Rule 504 exemption will suffice, if you are trying to achieve an IPO you’ll need to go with a Regulation D Rule 505 exemption (pink sheets and reverse mergers into shell corps are not very successful in immediate and long term success so I would suggest you stay away from these structures). Build into the PPM verbiage that you are raising an initial round of capital that will be used to take your company public. When savvy investors see that they are investing in a real, viable pre-IPO or pre-OTCBB formation you will see investors climbing out of the woodwork to give you cash if your business concept is sound.

Next you hire the consultants (usually the same firm that wrote your PPM) to start the process of taking you public. On the PPM your Mini/Maxi should allow you to use capital almost immediately to get the ball rolling on your public company. You can count on a solid OTCBB going for between $75k and $250k and an IPO going for $1M+ so have your PPM written accordingly. If you follow the path set forth above you will notice something extraordinary.

The only out of pocket expense you had was for your Private Placement Memorandum (and your business plan if you didn’t have one) and 100% of the capital needed to go public was supplied by greedy investors who are excited to invest because of the quick payoff of their investment when you go public. This process means you can literally take your company public for less than $5,000 (the typical cost of a strategic Private Placement Memorandum. This is a simple, strategic and inexpensive way to get the capital you need for your company quickly, without using your limited financial resources in the process.

Green Screen Los Angeles technology, a favored movie-making tool, is a. K. A chroma key. It is a strategy employed by filmmakers to mix two different photographs or footage together. A solid color—the background— is formed clear and is replaced with a real background that’ll be shown on the movie. This technique is also ordinarily referred as blue screen color keying, and CSO (color separation overlay). Initially, it was basically used for weather reports and then it eventually became well liked by filmmakers and photographers alike.

The green screen made its debut in the’30′s t RKO Radio photos, a once famous production outfit. Back then, the background color of choice was blue. CRO was first used and developed to give way for computer effects in films. The first film to gain from this is The Thief of Bagdad. Larry servant is credited for this film technique. He even won an Academy Award for his work in the film The burglar of Bagdad. The Chinese checkers game is a board game that is played by two to six people. The main object of the game is to be the first one to transfer all of your pieces from the point in front of you across the board, and completely into the point on the opposite side. Just like that of a hexagram, this board game has one hundred twenty one (121) indentations forming a six-pointed star, with ten (10) spots within each particular triangular star-point of the hexagram, and sixty one (61) within its hexagon.

There are typically six sets of different colored pieces corresponding for each player with ten pieces for each color. Each set of these ten pieces are initially positioned in the spots of one of the star’s vertex. Then play takes turn between players in a fixed manner with each player making one move only after the other finishes. Movements of these pieces are through single moves to adjacent spaces or jumps over other pieces, to a spot two places removed.

A basic game tactic employed by fanatics of this game is to be able to get as far as possible. However, while playing, it is not always the best move to go to the very end of a jump. There is wisdom in blocking your opponents at times. Another basic game strategy is to keep you movements within the center line. Otherwise, by splitting up your pieces at untimely situations, you might be left with a lonesome piece that will be too costly and taxing to make it to the other side.

Likewise, make way into the goal area. If you got your pieces within the goal area, it is already more convenient to make positioning therein. 2. Toga – Toga parties are college favourites due to their ease and cost effectiveness. You need to recreate an ancient Greek or Roman setting ie with pillars and busts etc. The toga is very simple to make, it can in fact be a white bed sheet and you are set.

3. Mexican – Get some Mexican flags for your venue. Red, white and green balloons for the 3 flag colors. Send your invitations out on mini Mexican sombreros. Cacti are very cheap and effortless to maintain after the party. Also you could get a giant inflatable cactus.

4. James Bond – Hire a Russian security sentry to check for hidden armaments on doorway. Perhaps you could have a Casino sub theme for your party like in Casino Royale and many other Bond films.

5. Hawaiian – This theme should centre around a surf shack. Ideally this is where your company would make their own cocktails like the Aloha or the Hawaiian Heartbreaker. Scatter sea shells and coconuts around the place. The chow should be plenty of fruit on skewers, allow your guests to skewer their own from the bowls provided.

6. French – Let your friends know that to be genuine, they have to go a week without showering. Wear black and white horizontal stripey tops and berets. Drink fancy wine and eat cheese on French loaf.

Washington resident, Kendra Thompson was hoping one day to be a standout on the fashion runways. She never missed shows on Entertainment television where girls were competing with one another to see who would be the next big thing. When she turned twelve, she went with her Mom and Dad to a Seattle modeling agency just for a simple, no pressure, introductory meeting. Since there are a good many Seattle modeling agencies both her parents wanted to make sure the family got involved with one that they all three felt comfortable with. Although her parents had never had any involvement in the industry, they sure knew their daughter. They were adamant regarding several specific things they were looking for when it came to who they wanted to represent their young daughter as she followed her dreams.

The very first thing her parents looked for in a potential management company was one whom they felt could develop Kendra’s natural gifts. They had long felt that their daughter possessed a very real gift in acting, and singing. They also felt and had been told by a number of friends that their daughter was very beautiful. They understood that although these basic traits can serve as a foundation for involvement in the entertainment industry, that to be successful, she would have to be given formal training. They felt a company who offered training would be preparing their daughter to be successful in a number of different areas, rather than in just something where she would be forced to depend upon her wits and natural abilities. They wanted their daughter to be given the tools necessary to feel confident on auditions and to show up for auditions knowing just exactly what was going to be expected of her.

The second thing Kendra’s parents were looking for in the selected management company was one who had a good reputation and a large network of contacts. All the best training in the world would be uselessif their daughter never had a chance to be seen by casting directors and advertisers looking for talent. A company who had connections with multiple businesses and advertisers would be able to make sure that their daughter was seen by a large number of potential employers. The more opportunities person has for exposure, the more likelihood of a potential work opportunity.

The third thing her parents were hoping to find in the potential management company was one who understood they would be training a young adult. Her parents felt that children of all ages should be encouraged for their differences and attributes. Certainly management companies have standards and requirements for whom they will agree to work with, however, the company who overly emphasized appearance was not the company they were seeking.

The company who failed to allow twelve year olds the space to have other interests as well as pursuing an entertainment career was not attractive to them either. They were looking for a management company who encouraged their daughter’s talents while also encouraging her to do her best in school and to make time for friends and other hobbies as well.

Hmmm, the Holidays Season The Thanksgiving turkey comes out of the cooking oven crispy golden brown, with an mouth watering aroma that fills the entire home. All the chinaware is in beautiful condition and not one piece in the set is missing. The family is gathered for holiday photos, the children are standing perfectly; hands to themselves, hair combed elegantly and their smiles are shining brightly for the camera. Then just as the photographer is about to capture the shot you wake up!

Okay, let’s be realistic ladies out there. Without proper planning and thinking, the holidays there will be nothing called holiday. Just take a look at the huge list of things that need to be done how big and exhausting it is: cooking,shopping, cleaning, decorating, sending holiday mail,invitations,etc,etc,etc, the list goes on and on and on.

Let me show you a few key important questions that you should ask yourself in order to have a beautiful holiday season free of stress and worry, and instead filled with fun and smiles:

What types of holiday celebrations and fun do you want? For example: Do you want to have an immediate close family only holiday season or an nice mix including immediate and extended family plus a few friends you know? Once you’ve thought everything through and decided on the type of holiday party you would like, you can then start making your own plans.

The San Diego Chargers have been bestowed with high hopes going into the 2009 season. Many are even speaking of this team as a favorite to emerge from the AFC conference and make its way to the Super Bowl.

The Chargers have found some success over the course of the last few seasons and their offense is one of the most potent in the NFL. They’ve been strong defensively in the past, but it doesn’t seem like they’re going to be one of the top defensive units in the league this year.

Philip Rivers – a contender for the MVP award this season in the minds of many – Darren Sproles a stud in the making, and more should propel a highly effective offensive team to a great place this season. Although LT is on the wrong side of 30 now, if he can stay healthy, he’s still got potential for a dangerous year.

The running game is top notch, as LaDanian Tomlinson and Darren Sproles are one of the most lethal one-two combos in pro football today.

After almost losing to the Raiders during their opening game, the San Diego Chargers came from behind in a dramatic fashion, sniping the game from the Raiders. This was a game that the Chargers were expected to win by and large, and they almost let it slip.

Turner’s career record is under .500 and if he can’t lead the Chargers to a strong playoff run with the talent the Chargers have, he might be looking at the wanted ads at the end of the season.

Was this a great game played by the Ravens, or a bad one played by the Chargers? Many are speaking very highly of the Ravens so far, so maybe the Chargers shouldn’t worry.

I do believe their offense is powerful, but not enough to make up for the weak defense. For this team to compete and live up to their expectations, the defense needs to improve immediately.

There are as many types and styles of Airsoft guns as there are real guns made. Most airsoft guns are exact replicas of real weapons. They are used by the military in training exercises because of the realism. There a individuals around the world that regularly play Airsoft and attend contests for this game.

An individual who is considering purchasing an Airsoft gun will first need to select its primary use. Many people collect these guns because of their perfect resemblance to military weapons. Others select Airsoft guns for sport. In addition to what the purpose of the gun will be, there are many different types of play. One may participate in skirmishes, organized scenarios, historical re-enactments, or military simulations.

When an airsoft gun is selected for a specific type of play, an individual will find that it is much easier to participate in the game. Skirmishes are the most common of the Airsoft games played. The game is played by people who come together at an Airsoft field. The players may know each other or be strangers who are meeting for the first time.

For more close in play many individuals find that a springer, which is available in many models, is a fine gun. This is the least expensive of the Airsoft guns and is very simple. It does not have electric or gas parts and is reliable in any type of weather. The gun does not have the long range capability of the higher powered electrical and gas guns. And, it only shoots one bb at a time which, when compared to the electric gun which shoots up to 3000 per minute can be a challenge.

AEGs are a battery operated gun. Some of these guns run on batteries as small as four AA batteries. They have several add-ons that make them a more realistic. Electric blow back allows the gun to recoil just as the real weapon would. In addition some of the guns are equipped to make the same noise as a bb exiting a chamber and send up a puff of smoke when the bb is dispersed.

Hybrid airsoft guns were introduced in 2005. These guns are standard AEGs with added options. The mags of these guns are loaded with shell casings that, when ejected, create a pop noise and smoke. One also gets a recoil from the guns. The weapon operates on a full blow-back system so that every shell that is ejected produced the noise and smoke for each pellet that is fired.

The type of gun that a person selects can also play into the strategy of the game. Airsoft guns are also available in the airsoft gas gun style. These guns use a CO2 tank that sits in the barrel of the gun. When playing in very close climates these guns are not as effective as an EG. However, manufacturers have developed an adapter mechanism that allows the gun to function in all but very cold climates.

When a person is considering entering the Airsoft sport it is important that they receive safety training in the use of these guns. They must be handled responsibly and treated with respect just as with a real gun.

The cost of airsoft guns varies greatly. A basic AEG can be affordable, however when the options are included the gun’s cost can rise quickly. Many individuals find that after beginning the sport they enjoy it and add to their gun collection rapidly to expand the types of games they are able to participate in.
