Private Placement Memorandum: A Must Read If You Need Investors

This article is nine years in the making. The concept is so simple but 99% of the clients I consult with have made identical errors in their effort to raise capital. They will have a business plan and they will have a Private Placement Memorandum and after one read of these two documents I have to deliver the bad news, “Sorry, but your business plan and PPM are completely worthless”.

They will then proceed to give me a story where the one consistent theme usually goes like this, “That can’t be…there was a guy…..he gave us a great deal on our business plan besides he wrote the business plans for my brothers sock sewing company and my friends underwater basket weaving video business and he really seemed to know what he was doing and then we bought a template online and just took the content from the business plan and used it to fill out the PPM template…blah..blah..blah…”.

Look, before you have a business plan written, test the author’s knowledge on your specific industry genre. There is no such thing as a one stop shop for business plans, the good consultants will cater to certain industries. Find an author with a solid comprehension of your goals and can translate your ideas into the fickle, skeptical language of the investors reading it.

Your business plan should include, at a minimum, financial projections/assumptions, growth and development analysis, market analysis, research analysis and implementation, competition analysis, management summary, marketing plan, risk analysis, capitalization analysis, market penetration analysis and SWOT analysis. Without these crucial elements your business plan is dead in the water and so is your future in fund-raising.

Next, never… and I mean never buy a PPM template on the internet. There are certain aspects to your offering circular that can trigger the invest button or snooze button in the mind of investors. Your business plan’s job is to ‘sell’ while the PPM is meant to spell out risk and other technical information that isn’t present in the business plan. The last thing you want to do is simply cut and paste information from the business plan over to the Offering Memorandum; it’s unprofessional and immediately loses legitimacy in the eyes of credible investors. Find a professional consultant, accountant or attorney who specializes in Regulation D to write your Offering Memorandum for you. A poorly written Private Placement Memo can destroy your ability to raise capital so fast it will shock you but a well written, professional PPM will make raising capital fast and easy.

I had been singing public (church) for over 10 years before I finally got lessons. I thought that because I wasn’t trying to become famous or anything, then I didn’t need lessons. I fit into the category where I have a natural ability for singing, but didn’t realize how much I was limiting myself by not learning to sing properly with lessons.

At the first singing lesson that I ever went to, I was surprised when I found out the lesson was going to be on ‘how to breathe’. After practicing correct breathing technique I realized that this foundational principle was what had limited me so much in the past. Now that I had learnt this lesson I was able to use this as the basis for more and more improvements in my singing.

I was lucky enough to be getting lessons from a woman who was a fantastic singer herself, and I loved the lessons and how much I was learning and improving. Unfortunately I came to a time in my life where I was not able to afford the lessons anymore. Though disappointed, I was determined to keep up the progress and started to look online for an alternative to one-on-on lessons.

And what I found was that there are plenty of singing courses on the internet. The benefit of the online world is that the lessons can be ‘delivered’ to you at a time and place that’s convenient to you. You can go over anything that you don’t understand, and you can practice over and over again using the audio tracks that they supply.

The Best Microsoft Xbox 360 Games I’ve Ever Owned

It’s amazingly been 3 whole years since I bought my Xbox 360, and I thought I’d give a quick rundown about the best games I’ve ever owned. I have a slight partiality toward sports games, so there may be a bit of a bias here. Don’t hold it against me. Nonetheless, this is about my favorites, so whatever I say goes!

5. We Love Katamari. Perhaps you’ve never heard of this game, but it’s something I’d definitely recommend looking into if you have any kind of an interest in puzzle type games. This game is simple, but utterly addicting and fun. Check it out sometime.

4. Grant Theft Auto 4. I love every game in the Grand Theft Auto series, and I’ve spent way too many late nights playing these games. All that I can say is these are incredibly addicting games that can keep me on seat’s end for hours, and then some more hours after that.

3- Virtua Tennis 3. I love this game. Now granted, I’m a tennis fan, but this game is the best tennis game I’ve ever played, hands down. I hear there’s a new one out and I may just have to get my hands on that. I could sit there for hours playing this game, it’s really that good.

2- NBA 2K9. I’m a big basketball fan, and this game is the best basketball game I’ve ever played. I know that some people like the Live series more than the 2k series, but I’ve always been a 2k guy myself. The game play is realistic, and the online mode is simply fantastic. High marks from me.

1- Rock Band. I think I’ve played more of this game than any video game I’ve ever owned since college. Whether I’m on the guitar, wailing away on the drums, or even singing (very occasionally), I’m always having a blast when I’m playing Rock Band. The ideal game for having friends over too!

How do you respond looking at female celebrity pictures, especially if you are female? What is your favourite part, the dress she is wearing or is it the plastic surgery she may have gotten recently and the fact that her obvious breast enhancement were on the cover of a local magazine?

We find these pictures useful in so many different ways, contradictory ways. To find out what the latest fashions and flare the greatest or, most famous of us anyway are wearing so we can copy them. At the same time look for flaws that the most famous of exhibit in order to bring them down or keep them at our regular level.

They have flaws and problems like us and thus are no better than us; thus if they are famous or worthwhile enough for their picture to end up in a media source of some sort, than so are we normal everyday human beings.

One can even think of it as the poor man’s form of psycho-analysis and this is his or rather her way of transferring a need or weakness onto the celebrity in any given picture and the story behind that particular picture or group of pictures. Thus he/she sees their weaknesses in the subject and in return can reverse transfer the strengths of the subject in the picture onto him/herself.

It can be a rather painful feeling if we are honest and see our weaknesses in the celebrity behold but not their strengths and good or great characteristics in ourselves. The sub-conscious is there to put all the things that don’t like about ourselves away to we can get on with our day to day survival.

If we are honest with ourselves than we have to accept our own ‘failures’ and ‘inadequacies’ and this is when things can get really interesting, for the good or for the better for all and for ourselves, once again depending on what kind of person we are or what kind of attitude we subscribe to.

We can accept our mediocre and normal lives and see only this in the lives of those who have achieved and a simple coping mechanism or a crutch and thus we would not have to do any actual work. We can accept what we see as a pathetic existence and slowly fade away into oblivion, occasionally seeing someone who actually put some effort into doing something with their lives fall and get our empty joy from this like some gutless wonder and armchair achiever.

Then there is another way, the way that sees that we are just like the subject of the picture, flawed and plagued with problems. But the fact that they were able to still achieve something with their lives, to have overcome so to speak and this should serve as an inspiration for our own lives. To remind us of how much there is to do and to never give up. This is the way of the ‘better angels’ of our nature, this is the way of love.

Night at the Museum Online Free

Watch Night at the Museum movie part 1 and you will definitely want to watch part 2 as well. This is a comedy, adventure American movie release in 2006 and 2009 respectively. Adapted from a children’s book with the same name, written by Milan Trenc, the movie was a great success. The movie has Ben Stiller play the lead role supported by Robin Williams, Bill Cobbs, Dick Van Dyke, Paul Rudd, Mickey Rooney, Steve Coogan, Carla Gugino, Owen Wilson and Ricky Gervais.

Part 1 is simply called Night at the Museum and part 2 is called Night at the Museum: Battle of the Smithsonian. Part 1 begins with a divorced father Larry Daley (Ben), who is struggling to get a stable job. His numerous attempts at various business ventures have failed miserably always. Now he is desperately trying but obviously failing to win over his son Nick, who is beginning to choose Don, his step father, as a role model to look up to on account of his successful career as a Wall street bond trader.

Larry gets a job at the American Museum of Natural History as a night guard. There are three ready to retire night guards (Cecil, Reginald and Gus) who give him a short, quick tour of the place, tell him not to switch off all the lights and warn him against letting anything ‘in or out’. Larry thinks all this is very humorous. When night descends, all the museum exhibits become alive, including Tyrannosaurus rex, a living skeleton, Dexter, a capuchin mischievous monkey, Jedediah, a cowboy leading miniatures, Theodore Roosevelt’s wax model and Octavius the Roman General.

Roosevelt (Robin), decides to help Larry restore some sort of order and tells him about the Egyptian Tablet of Akmenrah, an artifact brought in’52 to the museum. Since the arrival of this artifact in’52, all the exhibits in the museum came to life every night. The exhibits could chose to go outside of the museum if they wished up on the condition that they return to the museum before sunrise or they would turn to dust. Cecil, the old guard, suggests that Larry must begin to learn history to be able to deal with the exhibits in a better way.

His boss, Rebecca almost throws him out of his job when she sees the mess in the museum. Larry somehow manages to retain the job and takes Nick with him to spend the night at the museum but nothing happens that night and so is not able to impress Nick. Cecil, Reginald and Gus steal the Tablet of Ahkmenrah because they had received enhanced energy and vitality from the Tablet and don’t want to forsake it.

The chase to catch them begins in all earnest with some of the museum characters lending support to Larry. The story becomes super exciting from here on. How Larry convinces his boss of the night’s events, how he wins his son over and thus achieves his dream of becoming a role model to his son is unfolded in this movie. This is one movie that is good to watch during family times. If you have an Internet and computer at home, you can catch Night at the museum online free tonight. You just might end up watching the second part as well.
